These Terms and Conditions ("Terms") govern your access to and use of the Tradewise POS platform ("Service") operated by Tradewise POS ("Company," "we," "us," or "our"), available at https://Tradewise POS.com. By registering for or using the Service, you ("User," "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a business entity, you represent that you have authority to bind that entity.

3. Account Registration and Security
3.1 Account Creation
You must provide accurate, current, and complete information during registration and keep it up to date. Each account is for a single business entity. Creating multiple accounts to circumvent plan restrictions is prohibited.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@Tradewise POS.com of any unauthorized use or suspected security breach.
3.3 Account Suspension
We reserve the right to suspend or terminate accounts that breach these Terms, engage in fraudulent activity, violate applicable laws, or otherwise harm the integrity of the Service or other users.
4. Subscription Plans and Billing
4.1 Plans and Fees
Tradewise POS offers free and paid subscription plans. Current pricing is available at https://Tradewise POS.com/pricing. By subscribing to a paid plan, you authorize us to charge your payment method on the applicable billing cycle (monthly or annual).
4.2 Renewals
Paid subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. We will provide advance notice of any price changes.
4.3 Free Trial
We may offer free trial periods. At the end of the trial, you will be required to subscribe to a paid plan to continue using premium features. We reserve the right to modify or end free trial offers at any time.
4.4 Refunds
Payments are generally non-refundable except where required by applicable law. If you believe you have been billed in error, contact us within 30 days of the charge.
4.5 Taxes

Tradewise POS is not responsible for the availability, accuracy, or actions of third-party services.
8. Intellectual Property
All intellectual property rights in the Service, including software, code, design, trademarks, logos, and documentation, are owned by or licensed to TradeWise POS. These Terms do not grant you any right, title, or interest in the Company's intellectual property beyond the limited right to use the Service as described herein. The Tradewise POS name, logo, and product names are trademarks of the Company.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is marked as confidential or reasonably understood to be confidential ('Confidential Information'). This obligation survives termination of these Terms for a period of three (3) years.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Tradewise POS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).
12. Indemnification
You agree to indemnify, defend, and hold harmless Tradewise POS, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of applicable law; or (d) infringement of third-party rights by Your Data.
13. Service Availability and Modifications
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of planned downtime or significant changes.
14. Termination
14.1 By You
You may terminate your account at any time by following the cancellation instructions in your account settings. Termination will take effect at the end of the current billing period for paid plans.
14.2 By Us
We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or if required by applicable law.
14.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. You may export Your Data before termination. After account closure, we will delete Your Data within 90 days in accordance with our Privacy Policy.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws applicable in the jurisdiction in which Tradewise POS is registered, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of a recognized arbitration institution, conducted in English. Nothing in this clause prevents either party from seeking injunctive or equitable relief from a court of competent jurisdiction.
16. Modifications to Terms
We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or via an in-app notice. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service.
